These Terms of Service ("Terms") form a binding agreement between you ("User", "Client") and the business operating under the trading name Ecliptum — Neuro-Acoustic Laboratory ("Ecliptum", "we", "us", "our"), governing your access to and use of ecliptum.pro (the "Site") and any digital audio assets, visual environments, technical documentation, and membership tiers offered through ecliptum.pro (the "Store" and associated pages).

By accessing the Site, purchasing a one-time asset, or activating a subscription, you agree to be bound by these Terms. If you do not agree, do not use the Site or Store.

1.1. Ecliptum designs and licenses precision digital audio environments combining structured frequency design (including solfeggio tuning and binaural phase techniques), composed polyphonic audio, and synchronized 4K visual environments, distributed as downloadable software-delivered file packages and as capped, schedule-based subscription licenses.

1.2. Every product — whether purchased individually or delivered through a subscription — includes all three standard components of the Ecliptum product container:
(a) Audio Container: one or more uncompressed 24-bit WAV audio files corresponding to the purchased SKU. For example, the Sanctuary Complex contains four audio files, one per phase; individual phase SKUs each contain one audio file. The number of files per SKU is specified in the product listing.
(b) Visual Container: one or more 4K visual environment files in the applicable format configuration for the current deployment phase of the Ecliptum ecosystem. Format specifications are stated in the product listing.
(c) Technical Passport: a written technical document describing the frequency parameters, brainwave range targets, operational guidance, and environmental lore for the purchased asset.
All three components are included in every SKU without exception.

1.3. Ecliptum is not a streaming service. There is no unlimited or continuous catalog access under any plan. One-time purchases deliver a specific named file package for permanent local retention. Subscriptions deliver a defined, capped quantity of specific named assets per billing cycle, as described in Section 4. No product under these Terms grants open-ended or unrestricted access to an ongoing content library.

2.1. Current SKUs, subscription tiers, and prices are published on the live Store at ecliptum.pro/store and on the Access Tiers page at ecliptum.pro, and are governed by the Ecliptum Pricing Policy, which is incorporated into these Terms by reference. These Terms do not restate specific prices, which may change at any time per the Pricing Policy.

2.2. All transactions are processed in US Dollars (USD) by Paddle, acting as Merchant of Record (see Section 6).

3.1. Age Requirement. By completing a purchase or creating an account, you represent and warrant that you are at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher, and that you have full legal capacity to enter into this agreement. This representation is made by you at the moment of purchase. Because Ecliptum products are digital goods delivered immediately upon payment, a confirmed purchase cannot be reversed solely on the basis that the purchaser did not meet this age requirement; responsibility for ensuring eligibility rests with the person initiating the transaction.

3.2. Account Information. Where an account or dashboard login is required for subscription delivery, you agree to provide accurate contact information, including a valid email address, and to keep it current. This is the channel used for license delivery and billing notices.

3.3. One account is intended for use by one natural person. Credential sharing, pooled access, or group-purchase schemes are prohibited and may result in suspension without refund, consistent with Section 7 of these Terms.

3.4. Consent Logging. At checkout, you are required to confirm your agreement to these Terms, the Pricing Policy, the Refund Policy, and the Privacy Policy by checking a mandatory confirmation box. The timestamp, document version references, and your email address associated with this confirmation are logged and retained as a record of your consent.

4.1. One-Time Purchases. A one-time purchase grants a perpetual, non-expiring personal license to retain and use the specific downloaded file package for that SKU, delivered immediately to the email address or dashboard on file upon successful payment. "Lifetime access" refers to the duration of your personal license to the downloaded files; it does not guarantee indefinite server-side hosting or re-download availability — see Section 8.4.

4.2. Subscriptions. A subscription grants recurring access to a defined, capped allotment of newly released assets per billing cycle, as specified for each tier in the Pricing Policy. The access model (Rolling Window for Focus Resident and Sanctuary Resident; Rolling Window plus Legacy Archive access for Continuum Visionary) and applicable download limits per tier are described in full in the Pricing Policy, Section 5.2.

4.3. Bundled products (e.g. the Sanctuary Complex) are sold as a single indivisible unit. Components within a bundle cannot be unbundled, exchanged, or substituted for components of a different bundle or Sanctuary configuration.

4.4. Alpha Sector Access (Continuum Visionary). The Continuum Visionary tier includes priority access to Alpha Sector releases — assets in active development made available to this tier ahead of general release. Alpha Sector content is provided strictly on an "as-is" basis, without guarantee of final production quality, specific release schedule, or permanent archive availability. Alpha Sector assets may be modified, replaced, or removed without notice and without compensation. Access to Alpha Sector content is a benefit of the active Continuum Visionary tier and does not constitute a separate contractual commitment.

5.1. Ownership. All audio compositions, visual environments, technical documentation, trademarks, and related creative and technical content available through Ecliptum are the exclusive intellectual property of Ecliptum, protected under applicable international copyright law. The usage license granted to you upon purchase is a copyright-based personal-use license and does not transfer any ownership or proprietary rights to you.

5.2. License Grant. Upon successful payment, Ecliptum grants you a non-exclusive, non-transferable, revocable, personal-use license to download and use the purchased or subscription-delivered file packages for your own private, non-commercial use — specifically for personal focus, productivity, relaxation, and wellness purposes.

5.3. Restrictions. Without Ecliptum's prior written consent, you may not: (a) resell, sublicense, rent, lend, or redistribute any Ecliptum audio file, visual file, or Technical Passport, in whole or in part; (b) use Ecliptum assets in any commercial, public, or broadcast setting, including but not limited to workplaces, retail environments, hospitality venues, wellness or meditation centers, media productions, or third-party software or applications; (c) use Ecliptum audio, frequency data, or metadata for machine learning, AI model training, or generative audio synthesis of any kind; (d) re-record, capture, or reproduce Ecliptum assets via external hardware, microphones, or sound-card loopback for purposes of circumventing this license or enabling redistribution; (e) modify, remove, or attempt to circumvent any embedded file metadata, digital identification markers, or ownership attribution data embedded in Ecliptum files.

5.4. Digital Identification. Ecliptum embeds unique digital identification data — including order reference identifiers and delivery metadata — within the file metadata of delivered assets. This data is used solely to identify the origin of files in the event of unauthorized redistribution and to protect Ecliptum's intellectual property. This information does not contain personal financial data and is processed in accordance with the Privacy Policy.

5.5. Violation of any restriction in Section 5.3 results in immediate license termination without refund, and Ecliptum reserves the right to pursue all available legal remedies, including the use of embedded digital identification data as evidence in enforcement proceedings.

5.6. DMCA and Copyright Infringement. To report unauthorized use or redistribution of Ecliptum content, or to submit a copyright infringement notice, contact: lab@ecliptum.pro with the subject line "Copyright Notice". Ecliptum will investigate all credible reports and take appropriate action.

5.7. Third-Party Links. The Site may contain links to third-party websites or platforms, including but not limited to YouTube. Ecliptum is not responsible for the content, privacy practices, or terms of service of any third-party site. Links are provided for informational and preview purposes only.

6.1. All payments are processed by Paddle.com Market Limited and its applicable affiliates ("Paddle"), acting as Merchant of Record. Paddle is the seller of record for tax, invoicing, and payment-processing purposes, and your transaction is also subject to Paddle's own buyer terms.

6.2. Subscription Billing. Activating a subscription authorizes recurring billing at the interval and rate displayed at checkout — monthly, quarterly, semi-annual, or annual, as selected by you — until cancelled. Longer billing intervals are prepaid in full at checkout per the discount schedule published in the Pricing Policy; plan inclusions do not change based on the interval selected. You may cancel at any time via your account dashboard or Paddle's billing portal; cancellation takes effect at the end of the current prepaid billing period, with no further charges and no partial refund for the unused portion of a prepaid interval.

6.3. Price Grandfathering. When a price increase is applied to a subscription plan, existing subscribers are billed at their current rate for the full duration of the billing period in progress at the time of the announced change, and at the new rate from the first renewal falling after the 30-day notice period has elapsed.

6.4. Refunds, cancellation mechanics, dunning, and chargeback handling are governed by the Ecliptum Refund Policy, incorporated into these Terms by reference.

7.1. You agree not to: circumvent or attempt to circumvent any access, download-rate, or licensing controls; use automated tools to bulk-download or scrape the Store or its assets; misrepresent your identity, age, or payment details to obtain access you are not entitled to; remove or tamper with embedded digital identification data in Ecliptum files; or use the Site or Store for any unlawful purpose.

7.2. Ecliptum applies reasonable technical safeguards, including download-rate monitoring on higher-tier subscription plans and embedded digital identification in delivered files, to protect the platform and its intellectual property. Accounts found in material breach of this Section may be suspended or terminated without refund, subject to the Refund Policy.

8.1. Non-Medical, Non-Diagnostic Product. Ecliptum environments are non-medical performance-optimization and wellness tools, engineered for productivity, relaxation, and focus-environment design. Ecliptum does not provide diagnostic hardware, clinical software, or medical or psychological treatment services. Statements made about Ecliptum products have not been evaluated by any medical regulatory body. Ecliptum products are not intended to diagnose, treat, cure, or prevent any medical or psychological condition.

8.2. Health and Sensitivity Advisory. If you have a history of photosensitive conditions, audio-triggered sensitivity, seizure disorders, cardiovascular conditions, an implanted electronic medical device, or any condition that may be affected by structured audio or visual stimuli, consult a qualified medical professional before use.
Ecliptum's Delta-range assets — specifically the 90-Minute Nocturnal Matrix and equivalent sleep-cycle content operating in the deep-rest brainwave frequency range — are designed exclusively for stationary rest and sleep environments. Do not use Delta-range or sleep-cycle content while operating a vehicle, machinery, or in any situation requiring sustained alertness. Focus-range assets (Focus Vector, Recovery Interval, and equivalent active-work content) are designed for alert, productive states and carry no such restriction.

8.3. Technical Requirements. Ecliptum's frequency-based audio design requires accurate stereo playback through quality headphones with left/right channel isolation and all device-level audio enhancement, equalization, or spatial-audio simulation features disabled. Playback through mono speakers, low-fidelity hardware, or with DSP/enhancement layers active may degrade or neutralize the intended effect. Ecliptum is not liable for reduced efficacy arising from incompatible playback equipment or software configuration.

8.4. As-Is Basis and Service Availability. All Ecliptum products are provided on an "as is" and "as available" basis. Ecliptum makes no guarantee of any specific level of platform uptime or service availability beyond the initial delivery of purchased files. Ecliptum exercises sole creative and technical discretion over the content, format, and configuration of its products. Subjective dissatisfaction with creative content or stylistic choices does not constitute a defect and is not grounds for a refund (see Refund Policy). "Lifetime access" license grants under Section 4.1 do not guarantee perpetual server-side hosting; Ecliptum may discontinue hosting of historical files with reasonable notice, without this constituting breach of contract.

8.5. Limitation of Liability. To the maximum extent permitted by applicable law, Ecliptum's total liability for any claim arising from your use of the Site, Store, or products is capped at the amount you paid for the specific product giving rise to the claim. Ecliptum is not liable for indirect, incidental, or consequential damages of any kind.

8.6. Force Majeure. Ecliptum is not liable for delays or failures in delivery or platform availability caused by events outside its reasonable control, including third-party hosting or CDN outages, internet infrastructure failures, or other force majeure events.

9.1. Ecliptum may update these Terms from time to time. Material changes will be reflected by an updated Effective Date and Document Ref at the top of this document, and active account holders will be notified by email. Continued use of the Site or Store after an update constitutes acceptance of the revised Terms.

9.2. Jurisdiction Update. These Terms currently reflect Ecliptum operating as a pre-incorporation individual business. In the event that Ecliptum incorporates as a registered legal entity, the merchant details and governing law provisions in these Terms and the associated policy documents will be updated accordingly, and active subscribers will be notified by email prior to the change taking effect.

10.1. These Terms are governed by the laws of Montenegro, without regard to conflict-of-law principles. Disputes arising under these Terms shall first be addressed through Ecliptum's support channel (Section 11), and, where applicable, through Paddle's buyer dispute-resolution mechanisms for payment-related matters.

12.1. Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

12.2. Entire Agreement. These Terms, together with the Ecliptum Pricing Policy, Refund Policy, and Privacy Policy, constitute the entire agreement between you and Ecliptum regarding the subject matter herein, and supersede all prior written or oral representations, communications, and agreements, including any statements made through support channels.

12.3. No Waiver. Ecliptum's failure to enforce any right or provision of these Terms on any occasion does not constitute a waiver of that right or provision, and Ecliptum reserves the right to enforce such rights or provisions at any time.

These Terms are executed in English. Any translated version is provided for convenience only; the English version governs in the event of any conflict.
